Terms of Service

1. Acceptance of these terms
By connecting your Stripe account to ChargeShield ("the Service"), you agree to these Terms of Service. If you don't agree, don't use the Service.
2. What the Service does
ChargeShield monitors your Stripe account for chargebacks (also called disputes), automatically drafts a defense document based on your customer's order details, lets you review and edit that defense, and submits it back to Stripe for adjudication by the acquiring bank. The Service is operated at chargeshield.org.
3. Your responsibilities
You are responsible for: (a) the accuracy of any information you submit through the Service, including evidence text and uploaded supporting documents; (b) ensuring you have the legal right to submit that information; (c) maintaining the security of your Stripe account; and (d) reviewing every defense the Service drafts BEFORE submission. Nothing is sent to your bank without your explicit approval.
4. Fees
ChargeShield charges 15% of the disputed amount for each chargeback the Service successfully helps you defend (i.e. each dispute that Stripe marks as 'won' after your defense is submitted). You pay $0 if a dispute is lost. You pay $0 in monthly or seat fees. Fees are automatically invoiced to the payment method you save on file during onboarding, processed through Stripe on the ChargeShield platform account.
5. No guarantee of outcome
Chargeback outcomes are decided entirely by the acquiring bank and card network — not by Stripe and not by ChargeShield. We do not guarantee that any specific dispute will be won. We provide best-effort defense drafting and submission tooling; we are not a law firm and do not provide legal advice.
6. AI-generated content
ChargeShield uses AI to draft defense narratives. AI output may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing and correcting AI-drafted content before submission. By submitting AI-drafted content, you affirm that you have reviewed it for accuracy and that it represents your good-faith defense.
7. Acceptable use
You may not use the Service to: (a) submit fabricated, fraudulent, or knowingly false evidence; (b) defend chargebacks where the cardholder has a legitimate claim; (c) circumvent any Stripe or card network rule; or (d) violate any law. We reserve the right to terminate accounts that abuse the Service.
8. Termination
You may disconnect your Stripe account from ChargeShield at any time via your dashboard. We may suspend or terminate access if we reasonably believe you've violated these terms or are using the Service to commit fraud. Any pending invoiced fees remain due upon termination.
9. Limitation of liability
To the maximum extent permitted by law, ChargeShield's total liability to you for any claim arising out of the Service is limited to the total fees you've paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages including lost profits or lost chargeback recoveries.
10. Indemnification
You agree to indemnify and hold ChargeShield harmless from any third-party claim arising from your use of the Service, including claims that evidence you submitted was inaccurate or fraudulent.
11. Changes
We may update these terms as the Service evolves. Material changes will be announced via email.
12. Governing law
These terms are governed by the laws of the State where ChargeShield is incorporated. Disputes between you and ChargeShield will be resolved through binding arbitration in that jurisdiction.
